Terms of Service

Welcome to StudioFlow. These Terms of Service ("Terms") govern your access to and use of the StudioFlow platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "StudioFlow," "we," "us," or "our" refers to the operator of the StudioFlow platform.
- "Studio" refers to a business (yoga studio, fitness center, wellness provider) that subscribes to the Service.
- "Studio Owner" or "you" refers to the individual or entity that creates and manages a Studio account.
- "Client" refers to end users who book classes, purchase memberships, or otherwise interact with Studios through the Service.
- "Content" refers to text, images, data, and other materials uploaded to or generated through the Service.
2. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your use complies with applicable laws and regulations
You must be at least 18 years old and have the legal authority to bind yourself (or your organization) to these Terms.
3. Subscription and Fees
3.1 Subscription Plans
StudioFlow offers various subscription plans with different features and pricing. Plan details, including fees and billing cycles, are displayed at the time of purchase and may be updated from time to time.
3.2 Payment
You authorize us to charge your designated payment method for all applicable fees. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). All fees are non-refundable except as expressly stated in these Terms or required by law.
3.3 Price Changes
We may change our fees upon 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new fees.
3.4 Taxes
Fees are exclusive of taxes. You are responsible for all applicable taxes, and we will charge tax where required by law.
4. Studio Payments (Stripe Connect)
StudioFlow uses Stripe Connect to enable Studios to accept payments from Clients. By connecting a Stripe account:
- You agree to Stripe's Connected Account Agreement
- Payments from Clients are deposited directly into your Stripe account
- StudioFlow does not hold, control, or have access to your funds
- You are solely responsible for refunds, chargebacks, and disputes with Clients
- Transaction fees may apply as disclosed in your Stripe Dashboard
StudioFlow is not a payment processor and is not responsible for any issues related to payment processing, including Stripe account holds, delays, or terminations.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any laws
- Upload content that is defamatory, obscene, or infringes intellectual property rights
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers/networks connected to it
- Use automated systems (bots, scrapers) to access the Service without permission
- Resell, sublicense, or redistribute the Service without authorization
- Collect personal information of Clients except as necessary for your studio operations
- Send spam or unsolicited communications to Clients
We reserve the right to suspend or terminate accounts that violate these terms.
6. Your Content
6.1 Ownership
You retain ownership of all Content you upload to the Service. By uploading Content, you grant StudioFlow a non-exclusive, worldwide, royalty-free license to use, store, and display your Content solely for the purpose of providing the Service.
6.2 Responsibility
You are solely responsible for your Content and represent that you have all necessary rights to upload it. We do not endorse or guarantee the accuracy of any Content.
6.3 Client Data
As between you and StudioFlow, you own all Client data collected through your use of the Service. You are responsible for obtaining appropriate consents from Clients and complying with applicable privacy laws. See our Privacy Policy for details on how we process Client data on your behalf.
7. Intellectual Property
The Service, including its design, features, code, and documentation, is owned by StudioFlow and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted.
"StudioFlow" and our logo are trademarks. You may not use our trademarks without prior written permission.
8. Third-Party Services
The Service may integrate with third-party services (e.g., Stripe, Google Calendar, email providers). Your use of third-party services is subject to their respective terms and privacy policies. StudioFlow is not responsible for third-party services and does not warrant their availability, accuracy, or security.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDIOFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless StudioFlow and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your Content or Client data
- Your violation of these Terms
- Your violation of any third-party rights
- Disputes between you and your Clients
12. Termination
12.1 By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
12.2 By Us
We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in conduct that we reasonably believe is harmful to the Service or other users.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. You may export your data for 30 days following termination, after which we may delete it. Provisions that by their nature should survive (e.g., limitations of liability, indemnification) will remain in effect.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.
You agree to resolve disputes on an individual basis and waive any right to participate in class actions.
15. Miscellaneous
- Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and StudioFlow.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
- Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control.
